Remarks

FSI funds invest in Italian companies with strong growth potential, typically operating in the mid-market and lower mid-market segments and in sectors where FSI has developed deep expertise, applying the following main criteria:

(i) Active minority/partnership or majority investments, ensuring meaningful governance rights and appropriate levels of influence over portfolio companies through structured governance mechanisms;

(ii) Investments aimed at supporting and accelerating growth through organic expansion, internationalisation, digital transformation, acquisitions and sector or value chain consolidation (buy-and-build strategies);

(iii) Limited and disciplined use of financial leverage, consistent with a growth-oriented strategy and long-term value creation;

(iv) Strong focus on cash generation and distributions to investors, with holding periods aligned with the accelerated development plans of portfolio companies;

(v) Multiple exit routes, including trade sales to strategic buyers, secondary transactions and, where appropriate, initial public offerings.
